The General Assembly

The General Assembly shall be composed of all of the members of RWCT IC.

Except as otherwise provided in Statutes, the General Assembly shall have the ultimate authority to:

• approve the statutes of RWCT IC, and amendments thereto;
• elect and remove members of the Board of Directors and the audit committee;
• control the activity of the Board of Directors and of the audit committee;
• elect the chair and the vice-chair of the association;
• elect the secretary and the other members of the Board of Directors;
• decide to dissolve, liquidate or reorganize RWCT IC;
• approve the annual budget and accounts of RWCT IC;
• terminate membership and approve re-gaining membership of an organization whose membership had been terminated.

The Board of Directors

RWCT IC shall be governed by a Board of Directors composed of no fewer than five (5) members and not more than fifteen (15) members.

Members of the Board of Directors shall be nominated by any member of the General Assembly, and shall be elected by a simple majority vote of the General Assembly for a term of two (2) years.

The chair of RWCT IC shall be elected for a term of two years from among the founder members.
