The General Assembly shall be composed of all of the members of RWCT IC.
Except as otherwise provided in Statutes, the General Assembly shall have the ultimate authority to:
- approve the statutes of RWCT IC, and amendments thereto;
- elect and remove members of the Board of Directors and the audit committee;
- control the activity of the Board of Directors and of the audit committee;
- elect the chair and the vice-chair of the association;
- elect the secretary and the other members of the Board of Directors;
- decide to dissolve, liquidate or reorganize RWCT IC;
- approve the annual budget and accounts of RWCT IC;
- terminate membership and approve re-gaining membership of an organization whose membership had been terminated.
The General Assembly shall meet in ordinary and extraordinary sessions.
The General Assembly shall be convened in ordinary sessions once a year, in the first half of the year.
Notice of the meeting, including type (face to face, teleconference), time and location shall be sent to all members at least two months prior to the date specified for the meeting.
An extraordinary meeting of the General Assembly may also be convened whenever the interests of RWCT IC so require or upon written request of a number of members entitled to cast not less than one-tenth of the votes in a meeting of the General Assembly.
Notice of an extraordinary meeting of the General Assembly, including type (face to face, teleconference), time and location shall be sent to all members at least 30 days prior to the date specified for the meeting.
A meeting of the General Assembly is convened by the Board of Directors or by at least one third of the members or by the chair of RWCT IC.
The General Assembly may validly deliberate only if a simple majority of the members of RWCT IC are present or represented.
A member of RWCT IC may be represented by a proxy, who must also be a member of RWCT IC, at a meeting of the General Assembly. No member of RWCT IC may represent more than five (5) other members.
Decisions of the General Assembly are made with the simple majority of votes of those present.
The General Assembly is presided over by the chair of RWCT IC, or by the vice-chair, who is obliged to check the quorum before the agenda of the meeting is accepted.
