RWCT IC shall be governed by a Board of Directors composed of no fewer than five (5) members and not more than fifteen (15) members.
Members of the Board of Directors shall be nominated by any member of the General Assembly, and shall be elected by a simple majority vote of the General Assembly for a term of two (2) years.
The chair of RWCT IC shall be elected for a term of two years from among the founder members.
The Board of Directors’ authority shall include, but not be limited to, the following:
- summon the General Assembly;
- approve new members and terminate membership of RWCT IC;
- set up and dissolve special structures and regulate their activity, designate one or more standing or special committees or task forces, to have and exercise the power and authority specified by the Board and permitted by law;
- establish the amount of membership fee according to needs;
- appoint and/or remove the staff of RWCT IC, and approve their salaries;
- exercise power relating to the organization or activities of RWCT IC as the General Assembly, and the Board may deem advisable, appropriate, or effective;
- enter into legally binding agreements and partnerships on behalf of the RWCT IC;
- draft and adopting the Internal Regulations of RWCT IC, and amendments thereto;
- responsibility for the sensible management of RWCT IC assets;
- prepare annual reports for the general Assembly and ensure the execution of the decisions of the General Assembly, including those pertaining to the budget and annual accounts;
- the Board of Directors may appoint and call back an executive director. The authority of the executive director shall be established by the BD. The executive director shall report to the BD.
